Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and StaffStack, Inc. ("StaffStack," "we," "us," or "our") governing your access to and use of the StaffStack platform at staffstack.io and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
StaffStack is an AI-powered staffing platform that connects hiring companies ("Clients") with staffing agencies ("Vendors"). The Service includes:
- AI-powered candidate-to-job matching and resume analysis
- Vendor performance scoring and ranking
- Job posting and candidate submission management
- Placement tracking with 90-day guarantee periods
- Analytics and reporting dashboards
3. Account Registration
To use the Service, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activity under your account
You may register as a Client (hiring company) or Vendor (staffing agency). Admin accounts are provisioned by StaffStack. You may not register for multiple accounts without our prior written consent.
4. User Responsibilities
All Users agree to:
- Use the Service only for lawful staffing and recruitment purposes
- Provide truthful and accurate information in all postings and submissions
- Comply with all applicable employment laws and regulations
- Respect the confidentiality of information accessed through the platform
- Not attempt to reverse-engineer, scrape, or misuse the Service
Clients additionally agree to:
- Post only genuine job openings with accurate descriptions
- Review submitted candidates in a timely manner
- Comply with all applicable anti-discrimination laws in hiring decisions
- Honor placement terms and guarantee periods
Vendors additionally agree to:
- Submit only candidates who have consented to being represented
- Ensure candidate information is accurate and up-to-date
- Not submit the same candidate to multiple openings without disclosure
- Comply with all applicable staffing and employment agency regulations
5. AI-Powered Features
The Service uses artificial intelligence to match candidates, score vendors, and provide recommendations. You acknowledge that:
- AI-generated scores and rankings are advisory and do not constitute hiring recommendations
- Final hiring decisions remain the sole responsibility of the Client
- AI models may be updated over time, which may affect scoring and matching results
- StaffStack is not liable for hiring decisions made based on AI-generated recommendations
6. 90-Day Placement Guarantee
All placements made through StaffStack include a 90-day guarantee period, beginning on the candidate's start date. The guarantee is subject to:
- The placement being made entirely through the StaffStack platform
- The Client notifying StaffStack within 5 business days of the candidate's departure
- The departure not being due to layoffs, restructuring, or changes in business conditions unrelated to the candidate's performance
If a guaranteed placement ends within the guarantee period due to the candidate's performance, StaffStack will work with the Vendor to provide a replacement candidate at no additional placement fee.
7. Fees and Payment
Placement fees, payment terms, and any subscription fees will be set forth in a separate agreement or as displayed on the platform. All fees are in US Dollars unless otherwise specified. Invoices are due within 30 days of issuance unless otherwise agreed in writing.
StaffStack reserves the right to modify pricing with 30 days' prior notice. Price changes will not affect active placements or existing contractual commitments.
8. Intellectual Property
The Service, including its design, code, AI models, algorithms, and branding, is the exclusive property of StaffStack and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain ownership of all content you submit to the platform (job postings, candidate information, company data). By submitting content, you grant StaffStack a license to use, process, and display it as necessary to provide the Service.
9. Confidentiality
Each party agrees to maintain the confidentiality of information received through the Service that is not publicly available. This includes, but is not limited to:
- Candidate personal information and resumes
- Salary and compensation details
- Vendor performance scores and proprietary data
- Client business information and hiring strategies
This confidentiality obligation survives termination of these Terms for a period of two (2) years.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAFFSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
STAFFSTACK'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STAFFSTACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. STAFFSTACK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY OF AI-GENERATED SCORES, MATCHES, OR RECOMMENDATIONS.
12. Indemnification
You agree to indemnify, defend, and hold harmless StaffStack and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content you submit to the platform
- Your hiring or staffing decisions
13. Termination
Either party may terminate these Terms at any time by closing the account or providing written notice. StaffStack may suspend or terminate your access if you violate these Terms or if required by law.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including confidentiality, limitation of liability, and indemnification) will survive termination.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in New York, NY. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class-wide arbitration.
15. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in New York County, New York.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service, sending an email notification, or through an in-app notice. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
17. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and StaffStack regarding the Service.
- Severability: If any provision is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our written consent. StaffStack may assign these Terms in connection with a merger, acquisition, or sale of assets.
